At the General Membership Meeting on 14 February 2009 the CLF Board of Directors asked the members to vote on a bylaw change.  On 10 November 2007, Article III, Section 3.2 of the society’s bylaws, the membership year was changed to run from April 1 through March 31, which was different from the accounting year.

When this bylaws change was effected, the board was not informed that such a change would violate generally accepted accounting principles and require additional audit fees.

The prescribed method to correct this departure from the accepted method of accounting was simply to once again make the membership term coincide with the accounting year. The motion to change the bylaws so that the membership year and the accounting year would coincide was passed unanimously.
